1. Acceptance of these terms
These Terms of Service (“Terms”) govern your use of NextTake’s websites, creator intelligence tools, marketplace, and related services (collectively, the “Service”). By creating an account or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.
2. Eligibility and accounts
You must be at least 13 years old to use the Service. If you are under the age of legal majority where you live, a parent or legal guardian must agree to these Terms on your behalf. You must be legally able to enter a paid marketplace transaction; otherwise, an authorized adult or legal entity must do so for you.
You are responsible for accurate account information, activity under your account, and protecting access to your email and connected accounts. Contact admin@nexttake.app promptly if you believe your account has been compromised.
3. The NextTake service
NextTake provides tools that organize and interpret creator-authorized YouTube performance data and a marketplace where creators and independent service providers can find one another, communicate, exchange files, and manage creative projects.
Performance analysis and creative guidance are informational. They are not promises of views, revenue, audience growth, or any other result. You remain responsible for your creative, publishing, hiring, and business decisions.
4. Google and YouTube connections
Creator analytics, new YouTube connections, and channel synchronization are temporarily paused. Google sign-in and marketplace features remain available.
You may authorize NextTake to access read-only YouTube channel and analytics data. You give us permission to access, store, process, and display that data solely as described in our Privacy Policy and as necessary to provide features you request. NextTake cannot use these permissions to publish, edit, or delete your YouTube videos.
Your use of YouTube remains subject to the YouTube Terms of Service and Google Privacy Policy. You can revoke NextTake’s access from the Service or through your Google Account connections.
5. Marketplace relationships
NextTake provides marketplace and transaction tools, but creators and providers are responsible for deciding whether to work together and for agreeing on project scope. Providers are independent service providers, not employees, agents, or representatives of NextTake.
Providers must describe their skills and work honestly, use only portfolio material they have the right to display, and deliver work consistent with accepted offers. Creators must provide lawful materials, clear instructions, timely feedback, and any permissions needed to complete the project.
6. Offers, payments, fees, and payouts
A marketplace order begins only after a creator accepts a custom offer and Stripe confirms payment. The accepted offer defines the price, deliverables, delivery period, and included revisions. Any material change should be agreed in the project conversation.
For new checkouts, the buyer pays a NextTake service fee of 7.5% of the provider’s agreed service price, added to that price. The service price, fee, and total are shown before payment. The provider receives the full agreed service price after delivery approval, subject to the payout conditions below. Orders and checkouts created under the previous fee model retain their original amounts. The service fee is separate from any applicable tax. Stripe processes buyer payments and provider onboarding and payouts. NextTake does not provide escrow, banking, or money-transmission services.
Provider earnings are released after the creator approves delivery, subject to payment settlement, fraud review, disputes, legal obligations, and Stripe availability. Providers are responsible for their own taxes and reporting obligations.
7. Delivery, revisions, cancellations, and disputes
Creators should review deliveries promptly and use the order controls to approve work or request an included revision. Providers should respond within the agreed scope and timeline. Approval means the creator accepts the delivered work for that order.
If a project cannot be completed or the parties disagree, contact admin@nexttake.app. We may review the accepted offer, project conversation, delivery records, and other relevant evidence. We may pause a payout, cancel an order, issue or deny a refund, or take other reasonable action consistent with the accepted offer, these Terms, applicable law, and payment-network rules. When NextTake issues a full refund, it includes the buyer service fee paid for that order.
8. Content and intellectual property
You retain ownership of content you submit. You give NextTake a limited, worldwide, non-exclusive license to host, copy, process, display, transmit, and technically modify that content only as needed to operate, secure, and improve the Service and provide the features you request.
Public provider profile content may be displayed publicly. Private project content is made available to project participants and service providers needed to operate the Service. Ownership of commissioned deliverables and any usage rights are determined by the accepted offer and the parties’ agreement. Unless otherwise agreed, no intellectual-property ownership transfers before full payment.
You represent that you have all rights and permissions needed for content you upload and that our permitted use of it will not violate another person’s rights.
8a. No AI-generated artwork or video
AI-generated artwork, images, video, and visual elements are prohibited on NextTake. This includes profile pictures and covers, uploaded or linked portfolio work presented on NextTake, service offers, project attachments, and client deliveries. Do not request, offer, upload, sell, or deliver these materials through the marketplace.
The rule includes fully generated work and generated elements within otherwise human-made work, such as AI-generated backgrounds, generative fill, image-to-image transformations, generated animation, and generated or replaced video frames. Disclosure, client permission, purchasing the generated asset, or editing it afterward does not make it acceptable.
Human-made drawing, design, photography, recorded footage, conventional animation, 3D rendering, and editing remain allowed. You may use properly licensed, non-generated source materials. Tools that crop, resize, compress, adjust color, or assist editing are allowed only when they do not add or replace content with AI-generated visuals. You must accurately describe your contribution and hold the necessary rights.
When publishing or updating a provider profile or submitting a delivery, you must confirm compliance. Keep relevant source files, sketches, raw footage, or work-in-progress evidence so you can explain how the work was made if a concern is raised. A confirmation, an approved profile, or a successful file scan is not a guarantee of authorship or a certification that content is free of AI generation.
Report suspected violations through Help & support, identifying the profile or order and the specific material. We review available evidence and may ask for source material. Appearance or an automated detector score alone does not establish a violation. Confirmed violations can result in rejected applications, removed content or listings, and account restrictions for serious or repeated violations. Existing order and payment disputes follow section 7; a report does not automatically cancel an order or trigger a refund.
You can request a review of a decision through Help & support and provide relevant evidence. Records may be retained as needed for existing projects, disputes, security, and review.
9. Acceptable use
You may not use the Service to:
- Break the law, infringe intellectual-property or privacy rights, or facilitate fraud or deception.
- Harass, threaten, exploit, or impersonate another person.
- Upload malware, harmful code, illegal material, or content you do not have permission to use.
- Circumvent fees, security controls, access restrictions, or the intended marketplace transaction flow.
- Scrape the Service, overload its infrastructure, probe for vulnerabilities, or interfere with other users.
- Misrepresent portfolio work, identity, qualifications, project status, payment status, or delivery.
10. Service changes and account action
We may modify, suspend, or discontinue features and may limit or terminate access when reasonably necessary to protect users, comply with law, address security risks, prevent abuse, or enforce these Terms. Where practical, we will provide notice. You may stop using the Service at any time.
11. Third-party services
The Service works with third parties such as Google, YouTube, Stripe, cloud infrastructure providers, and model-service providers. Their services are governed by their own terms and policies. We are not responsible for third-party services outside our control.
12. Disclaimers
To the fullest extent permitted by law, the Service is provided “as is” and “as available.” We disclaim implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not guarantee uninterrupted availability, the accuracy or completeness of third-party data, marketplace outcomes, or specific creator-performance results. Nothing in these Terms limits rights that cannot legally be waived.
13. Limitation of liability
To the fullest extent permitted by law, NextTake and its operators, affiliates, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, data, goodwill, or opportunities arising from the Service. Our total liability for a claim will not exceed the greater of $100 or the amount you paid directly to NextTake during the six months before the event giving rise to the claim. These limitations do not apply where prohibited by law.
14. Indemnity
To the extent permitted by law, you agree to defend and indemnify NextTake and its operators from claims, losses, and expenses arising from your content, your marketplace services or purchases, your violation of these Terms, or your violation of another person’s rights.
15. Changes and contact
We may update these Terms as the Service changes. We will post the revised Terms here and update the date above. Material changes will apply prospectively, and we will provide additional notice when required. Continued use after an update takes effect means you accept the revised Terms.
Questions about these Terms can be sent to admin@nexttake.app.
